ORDER BELOW APPLICATION EXH.19
This is an application for change in the name of Company and
substitution of representative of complainant by virtue of the Scheme of
Amalgamation between Apurva India Private Limited (Transferor Company)
and Sika India Private Limited (Transferee Company) pursuant to the
Provisions of Section 233 of the Companies Act, 2013.
2. Heard advocate for complainant.
3. Perused photo copy of the Scheme of Amalgamation. The name of
original complainant company came to be changed as Sika India Private
Limited as per the Scheme of Amalgamation. Sika India Private Limited is
represented by Ms.Soniya Soparkar as authorized to represent the
complainant company. The substitution of Authorized person Ms. Soniya
Soparkar will not cause any prejudice to the rights of accused at this
preliminary stage. Sika India Private Limited becomes holder in due course of
subject cheque. No prejudice will be caused to the accused as the
complainant whomsoever is holder in due course of the subject cheque.
Hence, I pass following order.
ORDER
1) Application is allowed.
2) Complainant is directed to take appropriate steps without
further delay and make necessary changes in the caption of
complaint before Judicial Clerk.
3) Order dictated and pronounced in open court.
4) Order be uploaded on Court Web Portal for the knowledge of
parties.
