Perused the Chamber Summons which is supported by an affidavit being executed
by Komal Shashtrabudhe who is the executive legal of the applicant. Originally the
suit was filed in the name SBI Factors and Commercial Services Pvt. Ltd. As per the
order of Hon`ble High Court in Company Petition No. 989/2009 the original
company is amalgamated with Global Trade Finance Limited by an order dtd.
15.01.2010 as is clear from document Exh.A. In pursuance there of fresh certificate
of incorporation consequent upon change of name was issued by Registrar of
Companies, Govt. of India, Ministry of Corporate Affairs vide document Exh.B with
the changed name as SBI Global Factors Ltd. No prejudice going to cause to
defendant after the said amendment. Per contra considering the orders of Hon`ble
High Court and certificate issued by ROC the proposed amendment is necessary to
continue the suit. Hence, I pass the following order :
ORDER
Chamber Summons No. 484/2020 is allowed and made absolute in terms of prayer
clause (a) and (b).
The applicant to carry out the amendment within two weeks and shall supply the
copy of amended plaint to the defendant within two weeks thereafter.
Chamber Summons is disposed of accordingly.
